Terms of Use

These Terms of Use ("Terms") govern your access to and use of redwoodministryservices.com (the "Site") operated by Redwood Ministry Services LLC ("Redwood," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to your use of the Site as a visitor. If you become a Redwood client, your client engagement is governed by a separate written engagement letter between you and Redwood; in case of conflict between these Terms and that engagement letter regarding your client relationship, the engagement letter controls.

1. Eligibility

The Site is intended for adult ministry leaders, administrators, and others involved in operating a church, Christian non-profit, Christian school, or similar organization. By using the Site, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.

2. Permitted Use

You may use the Site for lawful informational purposes, to learn about Redwood, to download resources we make available, to request a discovery call, to schedule a meeting, or to subscribe to our newsletter.

You agree not to:

• Use the Site in any way that violates applicable law or regulation.

• Use the Site to harass, abuse, defame, or harm any person.

• Attempt to gain unauthorized access to the Site, the Redwood Portal, any related systems, or another user's account.

• Probe, scan, or test the vulnerability of the Site, or breach any security or authentication measures.

• Interfere with or disrupt the integrity or performance of the Site, including by introducing viruses, malware, or other harmful code.

• Use automated means (bots, scrapers, crawlers) to collect content or information from the Site without our prior written consent, except as permitted by an accessible robots.txt or similar mechanism.

• Frame, mirror, or reproduce any part of the Site on another site without our prior written consent.

• Reverse engineer or attempt to extract source code from any part of the Site or related software, except as permitted by law.

• Misrepresent your identity or affiliation in any form submission, communication, or scheduling request.

3. Intellectual Property

The Site — including its text, graphics, images, logos, design, source code, downloadable resources (such as the Church Financial Health Checklist), and the selection and arrangement of all of the above — is the property of Redwood Ministry Services LLC or its licensors and is protected by US and international copyright, trademark, and other intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site, and to download our publicly available resources for your personal, non-commercial use within your church or non-profit organization. You may not:

• Resell, redistribute, sublicense, or commercially exploit any Site content.

• Republish our content on another website without our prior written consent.

• Remove or alter any copyright, trademark, or other proprietary notice on the Site or its content.

• Use the Redwood Ministry Services name, logo, or other trademarks without our prior written permission.

4. User Submissions

When you submit information through a Site form, email, or scheduling request, you represent that the information you provide is accurate and that you have the right to provide it. You grant Redwood a non-exclusive, royalty-free, worldwide license to use that information for the purposes described in our Privacy Policy — for example, to respond to your request, to send you the resource you asked for, or to follow up about working together.

5. Third-Party Services and Links

The Site may link to or embed third-party services, including HubSpot (forms and meeting scheduling), Brevo (email delivery), TaxDome (the Redwood Portal), Google Calendar, and others. Your use of those services is subject to the providers' own terms and privacy policies, which we encourage you to read. Redwood is not responsible for the availability, content, or practices of third-party sites or services.

6. No Professional Advice

The Site, our blog, our downloadable resources, and our marketing emails are provided for general informational purposes only. They do not constitute accounting, tax, legal, financial, or other professional advice. While we strive for accuracy, you should consult a qualified professional — including a licensed CPA or attorney — about your specific situation before making decisions. Redwood is not engaged to perform an audit, review, or compilation through the Site, and does not provide attest services.

7. Discovery Calls and Proposals

A discovery call scheduled through the Site, a proposal we send, or any other pre-engagement communication does not create a client relationship between you and Redwood. A client relationship is established only when both parties sign a written engagement letter.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REDWOOD DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE INFORMATION ON THE SITE WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REDWOOD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE — WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, REDWOOD'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100), OR THE FEES YOU HAVE PAID DIRECTLY TO REDWOOD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER. Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Redwood and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms or your misuse of the Site.

11. Termination and Changes to the Site

We may modify, suspend, or discontinue all or part of the Site at any time, with or without notice. We may also restrict your access to the Site if we reasonably believe you have violated these Terms. Sections that by their nature should survive termination (including Sections 3, 8, 9, 10, 12, and 13) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Oklahoma, and you consent to the personal jurisdiction of those courts. You and Redwood each waive any right to a jury trial in connection with any such dispute, to the fullest extent permitted by law.

Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual-property rights or to enforce confidentiality obligations.

13. Miscellaneous

These Terms, together with the Privacy Policy and any engagement letter (if you are a client), constitute the entire agreement between you and Redwood regarding the Site. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only and have no legal effect.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of the page. Your continued use of the Site after we post a change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please stop using the Site.
